1. General Terms

1.1 The following business terms apply to all contracts you conclude with us as a supplier (GreenPlace, https://greenplaceamsterdam.com). Unless otherwise agreed upon, the inclusion of your own conditions is excluded.
1.2 A “consumer” is defined as any natural person who concludes a legal transaction which, to an overwhelming extent, cannot be attributed to their commercial or independent professional activities. The term “businessman” refers to any natural person, legal entity, or legally responsible partnership that concludes a legal transaction in pursuit of their independent professional or commercial activity.

2. Conclusion of the Contract

2.1 The subject of the contract is the sale of products.
2.2 Once you place the respective product in your cart on our website, we submit a binding offer to conclude a contract via the online shopping cart system under the conditions specified in the product description.
2.3 The contract is concluded via the online shopping cart system as follows:

The goods intended for purchase are placed in the “shopping cart”.
You can view and modify the “shopping cart” at any time.
After clicking “Checkout” or “Proceed to order” (or similar), you will enter your personal data, including payment and shipping information. The order overview will then be displayed for your review.
If you select an instant payment system (e.g., PayPal, Amazon Pay, Sofort, giropay), you may be forwarded to the payment provider’s page to complete the transaction.
After returning to our website, the order details will be displayed as an order overview.
Before submitting the order, you can review or modify any information, or cancel the purchase.
By clicking “order with obligation to pay” or similar, you confirm the legally binding acceptance of the offer, concluding the contract.

2.4 The order execution and all details related to the conclusion of the contract will be processed via email in a partially automated manner. Please ensure that the email address you provide is correct and that you can receive emails, particularly those not blocked by a SPAM filter.

3. Contract Duration / Cancellation of Subscription Contracts

3.1 Subscription contracts between you and us have an indefinite term. Either party may terminate the contract with a one-month notice period, effective at the end of the month, unless otherwise agreed.
3.2 The right to terminate the contract without notice for important reasons remains unaffected.
3.3 Any notice of termination must be declared in writing (e.g., via email) or via the cancellation button on our website.

4. Payment Methods

4.1 GreenPlace Amsterdam uses Mollie as the payment provider. If you select a payment method offered via Mollie, the payment will be processed via Mollie B.V. (Keizersgracht 313, 1016 EE Amsterdam, The Netherlands).
4.2 The available payment methods via Mollie include:

Apple Pay
Credit Card (Visa, MasterCard)
4.3 If applicable, special conditions for payment processing may apply and you will be informed separately. For more information about Mollie, visit www.mollie.com.

5. Right of Retention, Reservation of Ownership

5.1 You may only exercise a right of retention in relation to claims arising from the same contractual relationship.
5.2 The goods remain our property until the purchase price is paid in full.

6. Warranty

6.1 Statutory warranty rights apply.
6.2 As a consumer, you are required to promptly inspect the product upon delivery for completeness, visible defects, and transport damage, and report any issues to us and the shipping company in writing. Failure to comply does not affect your legal warranty rights.
6.3 If a product deviates from the objective requirements, the deviation is only deemed agreed if you were informed before the contract was concluded and if the deviation was expressly agreed upon.

7. Choice of Law, Place of Fulfillment, Jurisdiction

7.1 Dutch law applies, provided it does not revoke the consumer protection guaranteed by mandatory provisions of the customer’s country of residence.
7.2 If you are a businessperson, a legal entity under public law, or an institutional fund governed by public law, our place of business in Amsterdam is the place of jurisdiction and fulfillment.
7.3 The provisions of the UN Convention on Contracts for the International Sale of Goods do not apply.

8. Protection of Minors

8.1 We only enter into contractual relationships with customers who have reached the legally prescribed minimum age for purchasing certain goods subject to child welfare regulations. Age restrictions are listed in the product descriptions.
8.2 By submitting your order, you confirm that you meet the minimum age requirement and that your provided details are accurate.
8.3 We may require age verification for certain products and instruct our logistics provider to hand over the delivery only to persons of legal age.

We are neither willing nor obliged to participate in dispute resolution proceedings before consumer arbitration boards.

11. Contract Language, Saving of Contract Text

11.1 The contract language is English.
11.2 The full text of the contract is not saved by us. You can print or save the contract data before submitting the order using your browser’s print function. After your order is received, we will send the order data and legally required details to you by email.

12. Prices and Payment Arrangements

12.1 Prices include all price components, including taxes. Shipping costs are shown separately and must be borne by you unless free delivery is confirmed.
12.2 If applicable, transfer costs for international transactions will be borne by you.

13. Delivery Conditions

13.1 Delivery conditions, delivery dates, and restrictions are outlined during the checkout process or in the product quote.
13.2 For consumers, the risk of accidental damage or destruction during shipping passes to you once the item is delivered, regardless of whether the shipping is insured.
